Due to urgency of this role, incumbent who can converse in Chinese and staying in Singapore will be of higher priority.

Regional Corporate Secretary & Administrator (Jurong East) $7500
Key responsibilities:
- Managing, maintaining and supporting Group Company Secretary in monitoring, evaluating and advising the Board and Senior Management regarding statutory requirements and legislative matters relating to corporate governance practices/policies, including preparation of corporate governance report.
- Coordinate and accountable for the operations, administration, tracking of agenda items, and recording of minutes for the Board/Board Committees & shareholders’ meetings, and timely distribution.
- Prepare Board/Board committee & shareholders’ resolutions including coordinate with various internal and external stakeholders to ensure various screening and checks are done in compliance with the contents of the resolutions, and eventually oversee the filling and voting of the resolutions.
- Corporate matters include but not limited to the setting up/closing down/merging of overseas entities, changes to the board/council of directors/supervisors, changes to shareholders and corporate structure, opening and closing of accounts, changes to business activities and charter, changes to signatories, regulatory compliance matters, investment/divestment project related matters, etc.
- Compliance with provision in the Singapore Corporate Enactments, Statutory Reporting / Filing and corporate governance
- Perform ACRA filing, maintain statutory registers, records and ensure compliance with relevant statutory and regulatory requirements.
- Perform general research work including preparation of background documents presentation slides, drafts of simple correspondences, and background information for appointments, consolidate relevant data, and produce reports.
- Help with budget planning, usage, reporting and related matters.
- Coordinate all contractual activities and approvals related to the department's service providers and consultants.
- Coordinate with other assistants in delivering complex tasks.
- Perform other ad-hoc duties as and when required.

Requirements :
- Degree holder
- Corporate assignments knowledge in Singapore and other jurisdictions essential
- Institute of Chartered Secretaries and Administrators (ICSA) qualification with a minimum of 7+ years in a corporate secretarial practice / corporate governance, with at least 2 years in a managerial role preferably in a professional firm performing an equivalent role.
- Possess written and listening skills necessary for the effective and accurate recording/drafting of minutes for meetings and written resolutions.
